Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Imagyze image analysis platform ("the Service") provided by Signoi Ltd ("the Provider", "we", "us"). By uploading images to or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

The Service analyses user-uploaded images using artificial intelligence and algorithmic methods to produce semiotic analyses, archetype scoring, emotional profiling, colour analysis, and related outputs ("Analysis Results"). Analysis Results are generated automatically and are provided for informational and research purposes only.

3. License and Use

The Provider grants you a non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. You may not:

• Modify, copy, or create derivative works of the Service or its underlying software;
• Reverse engineer, decompile, or disassemble any part of the Service;
• Redistribute, sublicense, or provide access to the Service to third parties without authorisation;
• Remove or alter any proprietary notices, labels, or marks;
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.

4. Image Uploads and User Content

By uploading an image to the Service ("User Content"), you represent and warrant that:

• You own or have obtained all necessary rights, licences, and permissions to upload and submit the image;
• The image does not infringe the intellectual property, privacy, or other rights of any third party;
• The image does not contain illegal, obscene, or otherwise prohibited content.

You retain ownership of your original images. However, by uploading an image you grant the Provider a non-exclusive, royalty-free, worldwide licence to store, process, analyse, and retain copies of the image for the purposes of:

• Providing the Service and delivering Analysis Results to you;
• Internal research, development, and improvement of the Service and its algorithms;
• Quality assurance, debugging, and technical support;
• Aggregated or anonymised statistical analysis.

The Provider will not publicly distribute, sell, or share your uploaded images with third parties outside the scope described above without your prior consent.

5. Prohibited Content

You must not upload images that contain or depict illegal content, including but not limited to child sexual abuse material, content that incites violence or hatred, or content that violates applicable law. The Service employs automated content moderation. Uploading prohibited content may result in immediate and permanent suspension of your access without notice.

6. User Obligations

You agree to:

• Comply with these Terms and all applicable laws and regulations;
• Not attempt to circumvent any security, rate-limiting, or access controls;
• Not introduce viruses, malware, or other harmful material;
• Provide accurate registration information;
• Maintain the confidentiality of any account credentials.

7. Intellectual Property

The Service, including its software, algorithms, prompts, models, user interface, and documentation, is the intellectual property of the Provider and is protected by copyright and other intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you beyond the limited licence granted herein.

Analysis Results are generated outputs based on your uploaded images. While you may use the Analysis Results for your own purposes, the underlying methods, scoring frameworks, and analytical approaches remain the intellectual property of the Provider.

8. Disclaimers

THE SERVICE AND ALL ANALYSIS RESULTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE PROVIDER EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT.

Analysis Results are generated by artificial intelligence and algorithmic processes. They:

• May contain inaccuracies, errors, or omissions;
• Do not constitute professional advice of any kind (including but not limited to legal, medical, psychological, or financial advice);
• Should not be relied upon as the sole basis for any decision;
• May vary between submissions of the same image due to the nature of AI-based analysis.

You are solely responsible for evaluating, verifying, and determining the suitability of any Analysis Results before reliance or use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

THE PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO THE PROVIDER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

10. Data Processing and Privacy

By using the Service, you acknowledge that:

• Your email address is collected at registration and used solely for delivering Analysis Results and service communications;
• Uploaded images are processed using third-party AI services (including cloud-based API providers) and may be transmitted to those services for analysis;
• The Provider stores hashed (anonymised) identifiers rather than plain-text email addresses in its permanent records;
• Technical data such as IP address and browser information may be collected for security, abuse prevention, and service improvement.

11. Termination

The Provider may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. In the event of termination, you must immediately cease all use of the Service. The Provider's rights to retain previously uploaded images as described in Section 4 shall survive termination.

12. Changes to Terms

The Provider reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
